Why Montenegro

A serious jurisdiction, without the noise

Montenegro registers crypto-asset service providers under its AML law - formal regulatory recognition in a euro-based, EU-candidate economy, without the cost and weight of a full EU licensing process.

  • 9%corporate income tax
  • EUR 1minimum share capital
  • EUR 5,000one-time state fee
  • EUR / SEPAeuro currency, SEPA-connected
  • EU candidateaccession-track jurisdiction
  • FATF-alignedAML/CFT framework

Scope

What a registered provider may do

Registration under the Montenegrin AML framework covers the full set of crypto-asset services defined by law:

  1. Custody and administration of crypto-assets
  2. Operation of a trading platform
  3. Exchange of crypto-assets for fiat currency
  4. Exchange of crypto-assets for other crypto-assets
  5. Execution of orders on behalf of clients
  6. Transfer services for crypto-assets
  7. Placement of crypto-assets
  8. Reception and transmission of orders
  9. Advice on crypto-assets
  10. Portfolio management of crypto-assets

The path

Four stages. One counsel on the ground.

  1. Documents and power of attorney

Passports, proof of address, clean-record certificates, CVs. We prepare the powers of attorney; everything proceeds remotely.

  2. Company formation

A Montenegrin d.o.o., formed by power of attorney, with crypto activities in its founding documents from day one.

  3. Compliance architecture

The complete AML/CFT framework, drafted for your business model - and a licensed, resident compliance officer in place.

  4. Filing and entry in the register

We lodge the application with the Capital Market Commission, attend to its questions, and see the company entered in the register. State fee: EUR 5,000, at cost.

The file

What we build for you

A registration stands on its documentation. We draft all of it, tailored to your business - not templates:

  • AML/CFT policy and procedures
  • Risk assessment
  • IT and security policy
  • Complaints-handling policy
  • Governance and officer appointment
  • Staff training framework
  • Transaction monitoring and reporting
  • Business plan

The difference

The officer, in-house

Every registered provider must have a licensed compliance officer - trained, examined, licensed by the Financial Intelligence Unit, resident in Montenegro, and employed within the structure. Most firms broker this from a distance. We provide it in-house, on the ground, as part of the engagement. It is the difference between a registration that exists on paper and one that stands up to supervision.

Plainly

Asked, answered

Is this a licence?

No - and anyone who tells you otherwise is selling. It is a registration under Montenegro's AML law, made with the Capital Market Commission. A MiCA-style crypto law is expected in time; we monitor it and structure your file so it is positioned for the transition.

How long does it take?

Company formation is measured in weeks; the registration file in a few weeks more, largely in parallel. The authority's own review time is new territory for every provider in the market - we commit to a complete, clean file and constant updates, never to a date we do not control.

Do I need to visit Montenegro?

Not for the formation - that proceeds remotely by power of attorney. A visit becomes useful later, for bank onboarding and any residence permit.

Is a bank account included?

We prepare the file and introduce you to banks that work with registered providers. Banking for crypto businesses is assisted, never guaranteed - by anyone.

How much does a Montenegro crypto registration cost?

Company formation starts at EUR 2,900, and formation with full VASP registration at EUR 11,900. On top sit the EUR 5,000 government fee and document costs (apostilles, certified translations, notary), billed at cost. The full mandate, adding the in-house compliance officer and accounting, is quoted per case.

What documents do the founders need?

For each owner and director: a valid passport, a recent proof of address, a short CV, and a clean criminal-record certificate, apostilled and translated. We prepare the powers of attorney and the whole application file; the founders supply only their personal documents, and the company is formed remotely.

How are crypto companies taxed in Montenegro?

Corporate income tax is 9%, among the lowest in Europe, with 15% dividend withholding. Standard VAT is 21%, though most crypto-asset exchange transactions fall outside VAT. We structure the company and coordinate accounting; we are not tax advisers and confirm the treatment for your specific model.
